WellAware, a San Antonio, Texas-based remote monitoring and predictive analytics platform for oilfield operators, has raised $37 million in growth equity funding. Activant Capital Group and Carlos Slim co-led the round, and were joined by board members Ed Whitacre and Dick Cheney.www.wellaware.us

Phunware, an Austin, Texas-based provider of “multiscreen-as-a-service” solutions, has raised $30.72 million in Series E funding led by Samsung Ventures. Other company shareholders include Firsthand Technology Value Fund, Fraser McCombs Ventures, Cisco, WWE, Maxima Ventures, Wild Basin Investment and the Central Texas Angel Network. www.phunware.com

Next Step Living, a Boston-based provider of residential energy efficiency and renewable energy solutions, has raised $25 million in Series D funding. Braemar Energy Ventures led the round, and was joined by return backers Black Coral Capital and VantagePoint Venture Partners.www.nextstepliving.com

Patreon, a Palo Alto, Calif.-based crowdfunding platform for the “creative class,” has raised $15 million in Series A funding. Index Ventures led the round, and was joined by Atlas Venture, Charles River Ventures, SV Angels, Freestyle Capital and individual angels. www.patreon.com

Schoology
, a New York-based  collaborative learning platform for K-20 classrooms., has raised $15 million in new VC funding. Backers include Intel Capital, Great Oaks Venture Capital and Great Road Holdings. The company previously raised $10 million. www.schoology.com

Fingerprint, a San Francisco-based developer of mobile apps for kids, has raised $10.85 million in Series B funding led by DreamWorks Animation SKG. www.fingerprintplay.com

Epoxy, a Los Angeles-based provider of digital media creation tools for companies, has raised $6.5 million in Series A funding. Upfront Ventures and Time Warner Investments co-led the round, and was joined by return backers Bertelsmann Digital Media Investments, Advancit Capital, Greycroft Partners and Robert Downey Jr. www.epoxy.tv

Soundhawk
, a Cupertino, Calif.-based “smart listening system,” has raised $5.5 million in new VC funding from Foxconn, True Ventures and other undisclosed investors. www.soundhawk.com

RedOwl Analytics
, a Baltimore-based company that applies analytics to internal corporate data streams for risk mitigation, has raised $4.6 million in Series A funding. Backers include Marc Benioff, Igor Sill, Kevin Plank, Christian Lawless, Attractor Ventures, Propel Baltimore and TEDCO.www.redowlanalytics.com

Seal Software, a UK-based provider of contract delivery and contract analytics solutions, has raised $4 million in new VC funding led by Toba Capital. www.seal-software.com

CoPatient Inc., a Boston-based medical bill review platform for spotting overcharges, has raised $3.6 million in Series A funding. .406 Ventures led the round, and was joined by return backers Jonathan Bush and Cambia Health Solutions. www.copatient.com

WebPT, a Phoenix-based provider of electronic medical records solutions for rehabilitation therapists, has raised an undisclosed amount of funding from Battery Ventures. www.webpt.com

Vessel (f.k.a. Fremont Project), a new stealthy content startup from former Hulu CEO Jason Kilar, has raised an undisclosed amount of VC funding from Benchmark, Greylock and Bezos Expeditions.www.vessel.com

Private Equity Deals

LaSalle Capital has acquired Avtex Solutions, a Minneapolis–based provider of customer experience technology solutions, from Marquette Cos., a unit of the Pohlad Cos. No financial terms were disclosed. www.avtex.com

PAI Partners has acquired VPS Holdings, a provider of European vacant property services. No financial terms were disclosed. www.vpsgroup.com

Segulah has agreed to acquire Lokaltidningen Mitt i AB, a publisher of 31 local newspapers in the Stockholm, Sweden area, from VLT AB. No financial terms were disclosed. www.vltab.se

IPOs

Adeptus Health Inc., a Lewisville, Texas-based network of independent freestanding emergency rooms, raised $108 million in its IPO. The company priced 4.9 million shares at $22 per share (high end of range), and will trade on the NYSE under ticker symbol ADPT. Deutsche Bank Securities and Goldman Sachs served as lead underwriters. The company reports a $2.9 million net loss on around $115 million in income for 2013. Adeptus Health is owned by private equity firm Sterling Partners.www.adhc.com

Amphastar Pharmaceuticals Inc
., a Rancho Cucamonga, Calif.-based developer of generic and proprietary injectable and inhalation products, raised $56 million in its IPO. The company priced 8 million shares at $7 per share (below $10-$12 offering range), and will trade on the Nasdaq under ticker symbol AMPH. Jefferies, BMO Capital Markets and Piper Jaffray served as lead underwriters. The company reports $11.8 million of net income on $230 million in revenue for 2013. Shareholders include Applied Physics & Chemistry Laboratories Inc. (19.67% pre-IPO stake) and Coller Partners (8.6%).www.amphastar.com

El Pollo Loco
, a Costa Mesa, Calif.-based quick-serve restaurant chain owned by Trimaran Capital, has filed for a $100 million IPO. It plans to trade on the Nasdaq under ticker symbol LOCO, with Jefferies, Morgan Stanley and Baird serving as lead underwriters. www.elpolloloco.com

Imprivata
, a Lexington, Mass.-based provider of access and authentication management solutions for the healthcare industry, raised $75 million in its IPO. The company priced 5 million shares at $15 per share (middle of range), for an initial market cap of approximately $342 million. The company will trade on the NYSE under ticker symbol IMPR, while J.P. Morgan and Piper Jaffray serving as lead underwriters. It reports a $5.5 million net loss on $71 million in revenue for 2013, compared to $1 million in net income on $54 million in revenue for 2012. Shareholders include General Catalyst Partners, $342 mHighland Capital Partners and Polaris Partners – each of which have a 25.1% pre-IPO stake. www.imprivata.com

Lantheus Holdings
, a Billerica, Mass.-based maker of diagnostic medical imaging agents and products, has filed for a $125 million IPO. It plans to trade on the Nasdaq under ticker symbol LNTH, with Citigroup serving as lead underwriter. The company is owned by Avista Capital Partners.www.lantheus.com

Materialise NV
, a Belgium-based provider of 3D printing services, raised $96 million in its IPO. The company priced 8 million shares at $12 per share (low end of range), and will trade on the Nasdaq under ticker symbol MTLS. Piper Jaffray and Credit Suise served as lead underwriters. The company reports $3.4 million in net income on $69 million in 2013 revenue, compared to $1.4 million in net income on $59 million in 2012 revenue. Shareholders include Sniper Investments (3.45% pre-IPO stake). www.materialise.com

Townsquare Media
, a Greenwich, Conn.-based radio station operator owned by Oaktree Capital Management, has filed for a $144 million IPO. It plans to trade on the NYSE under ticker symbol TSQ, with BofA Merrill Lynch, Jefferies and RBC serving as lead underwriters.www.townsquaremediagroup.com

VWR Inc.
, a Radnor, Penn.–based lab equipment maker owned by Madison Dearborn Partners, has filed for a $100 million IPO. BofA Merrill Lynch, Goldman Sachs and J.P. Morgan are serving as lead underwriters. www.vwr.com

M&A

Sun European Partners has agreed to sell its investment in DBApparel, a French maker of branded men’s and women’s intimate apparel like the WonderBra, to HanesBrands Inc. (NYSE: HBI) at an enterprise value of €400 million. Read more.

Opera Software (OSLO: OPERA) has acquired AdColony, a Los Angeles–based mobile video advertising platform. The deal is valued at upwards of $350 million, including a $75 million upfront cash payment and possible milestones. Sellers include Insight Venture Partners. www.opera.com

Sequential Brands Group (Nasdaq: SQBG) has agreed to acquire Galaxy Brand Holdings Inc., owner of consumer brands like Avia fitness products and Linens ‘N Things home goods, for approximately $260 million (including $100 million in cash). Galaxy Brands backer The Carlyle Groupwill become a significant Sequential Brands shareholder, via the stock portion of the acquisition.www.sequentialbrandsgroup.com

CIT Bank (NYSE: CIT) has agreed to acquire Direct Capital Corp., a Portsmouth, N.H.-based provider of financing to small and mid-sized businesses. No financial terms were disclosed.www.cit.com

Endo International has agreed to acquire Dava Pharmaceuticals, a Fort Lee, N.J.-based, for upwards of $600 million (including a $575 million up-front cash payment). www.davapharma.com

HSBC has agreed to sell a portfolio of Swiss private banking assets ($12.5 billion) to a unit of Liechtenstein-based LGT Group Foundation. www.hsbc.com
