Regency Energy Partners (NYSE: RGP) has agreed to acquire PVR Partners (NYSE: PVR), a Radnor, Penn.-based provider of gas gathering and processing services, for approximately $7.4 billion (including the assumption of $1.8 billion in debt). www.regencyenergy.com

Advent International has agreed to sell German chemicals company Oxea to The Oman Oil Co.No financial terms were disclosed. www.oxea-chemicals.com

The Blackstone Group
 has received “more than half a dozen bids” for the La Quinta hotel chain’s parent company, according to LBO Wire. A deal could be worth around $4.5 billion. www.blackstone.com

Kohlberg Kravis Roberts & Co. is again seeking a buyer for money-losing German car repair chainAuto-Teile Unger, according to Reuters. This comes against a backdrop of Auto-Teile creditors proposing a debt-for-equity swap. www.kkr.com

Barington Capital Group has amassed a 2.8% stake in Darden Restaurants (NYSE: DRI), and is urging the company to split in two. One group would hold the Red Lobster and Olive Garden brands, while the other would hold “higher growth” chains like Capital Grille. www.darden.com

Liberty Interactive Corp. (Nasdaq: LINT) announced that it would split itself into three separate entities: A tracking stock (Libery Digital Commerce) to hold its ecommerce assets, except for BuySeasons; .Another tracking stock (QVC Group) to hold its shopping channel assets; and a spinout of TripAdvisor (which will hold BuySeasons). www.libertyinteractive.com

Martin Franklin
, CEO of Jarden Corp. (NYSE: JAH), has formed a shell company to bid $1.8 billion for Denver-based specialty chemicals company MacDermid Inc., according to the WSJ.www.macdermid.com

Antero Resources, a Denver-based oil and gas exploration and production company controlled byWarburg Pincus, raised $1.6 billion in its IPO. The company priced 35.7 million shares at $44 per share, compared to plans to offer 30 million shares at between $38 and $42 each. It will trade on the NYSE under ticker symbol AR, while Barclays, JPMorgan and Citigroup served as lead underwriters.www.anteroresources.com

Macrogenics Inc
., a Rockville, Md.-based developer of monoclonal antibody-based therapeutics for the treatment of cancer and autoimmune diseases, raised $80 million in its IPO. The company priced 5 million shares at $16 per share (high end of $14-$16 range), and will trade on the Nasdaq under ticker symbol MGNX. BoA Merrill Lynch served as lead underwriter. Shareholders include TPG Capital, Alta Partners, InterWest Partners, MPM Capital, Caisse de dépôt et placement du Québec and Ventures West. www.macrogenics.com

Trevena Inc., a King of Prussia, Penn.–based developer of G protein coupled receptor biased ligands, has filed for an $86.25 million IPO. It plans to trade on the Nasdaq under ticker symbol TRVN, with Barclays and Jefferies serving as lead underwriters. Shareholders include Alta Partners (20.8% pre-IPO stake), New Enterprise Associates (20.8%), Polaris Partners (20.8%), Forest Labs (18.1%) and HealthCare Ventures (13.1%). www.trevenainc.com

Western Refining Logistics LP, an El Paso, Texas-based owner and operator of midstream energy assets, raised $303 million in its IPO. The company priced 13.75 million shares at $22 per share, compared to plans to offer 12.5 million shares at between $19 and $21 per share. It will trade on the NYSE under ticker symbol WNRL, while BoA Merrill Lynch and Barclays served as lead underwriters. The company is being spun out by Western Refining Inc. (NYSE: WNR). www.wnr.com
